Status: Draft 0.1 — 5 October 2026. Counsel review is outstanding. This draft is not legal advice and is not binding until ISP550 publishes a reviewed version and the tenant accepts it.
Parties. These terms are between the company that operates ISP550 (RC number to be inserted after CAC registration) and the ISP or hotspot operator that creates a tenant account ("Tenant").
The service. ISP550 provides software that helps the Tenant onboard MikroTik routers, sell hotspot vouchers, bill PPPoE subscribers, and take payments. The Tenant's network, radios, and subscribers remain the Tenant's.
Tenant obligations
The Tenant:
- Holds and keeps current every NCC licence or authorisation its network requires. ISP550 does not provide telecoms services to the Tenant's subscribers and does not obtain the Tenant's NCC licence.
- Collects and uses subscriber data lawfully, including a recorded lawful basis under the Nigeria Data Protection Act 2023 (NDPA) and the General Application and Implementation Directive 2025 (GAID).
- Is responsible for traffic on its network and for content it or its subscribers send.
- Gives ISP550 accurate legal name, settlement details, and staff access, and keeps staff accounts limited to people who need them.
- Accepts these terms and the Data Processing Agreement before processing subscriber data on the platform.
Roles under the NDPA
ISP550 is the controller of Tenant account data: staff identities, the contract with ISP550, platform invoices, and platform audit logs.
ISP550 is the processor of subscriber data that the Tenant stores in the platform (identity, phone number, service address, session and payment references). The Tenant is the controller of that data. Processing is limited to the DPA.
Payments
Subscriber payments are collected by Paystack and split at source to the Tenant's Paystack subaccount. ISP550 does not hold, warehouse, or settle those subscriber funds. Platform commission, where configured, is a Paystack split. The Tenant bears Paystack fees on those charges (bearer: subaccount in the product design).
Platform fees that the Tenant pays to ISP550 (for example a platform invoice) are a separate charge for software service. Prices are whatever the Platform Console shows at the time of the charge. This draft does not set prices.
Value added tax on ISP550's own SaaS fees is handled on platform invoices (Phase 14). The rate to apply is the rate in force, currently 7.5% unless counsel or the tax authority directs otherwise.
Cash payments recorded by Tenant staff are a Tenant record. They do not move money through ISP550.
Acceptable use
The Tenant will not use the service to send unlawful messages, to bypass Paystack or another provider's rules, or to store card numbers, CVVs, or PINs. Card data stays with Paystack.
Suspension and closure
ISP550 may suspend a tenant that fails to pay platform fees, that creates a security risk, or that ISP550 reasonably believes is using the service unlawfully. On closure, ISP550 deletes or returns subscriber data as the DPA describes, after keeping records the law requires ISP550 itself to keep.
Liability and law
Counsel will set the liability cap, exclusions, and indemnity before publication. Governing law is the law of the Federal Republic of Nigeria. Courts of Nigeria have jurisdiction, subject to any mandatory consumer or data-protection forum.
